Preamble
These General Terms and Conditions of Sale ("T&Cs") govern the contractual relationship between AGRICONOMIE SAS, a simplified joint-stock company with capital of €1,193,749.80, registered in the Châlons-en-Champagne Trade and Companies Register under number 799 365 176, with its registered office at 35 avenue de Paris – 94800 Villejuif, and any professional client requesting analysis, study or marketing research services from the Nexio Research brand operated by AGRICONOMIE SAS.
Nexio Research specialises in agricultural data research and analysis, the production of behavioural studies and the provision of statistical analyses derived from pseudonymised or anonymised data.
Any order implies unconditional acceptance of these T&Cs.
1. Scope
These T&Cs define the conditions under which AGRICONOMIE, operating under the Nexio Research brand, provides the Client with:
- statistical studies, barometers and analysis reports;
- behavioural studies and applied research projects;
- data analysis from internal or partner sources;
- consulting services in data intelligence and modelling.
2. Orders and acceptance
Every order must be the subject of a written quote specifying the nature, scope and terms of the services.
The order becomes firm after written validation by the Client and acceptance by Nexio Research. Any validation implies unconditional adherence to these T&Cs.
3. Prices and payment terms
Prices are expressed in euros, excluding taxes.
Invoices are payable within 30 days end of month from the date of issue.
Any late payment automatically triggers late-payment penalties at the statutory rate and a fixed €40 indemnity for recovery costs.
4. Nexio Research obligations
Nexio Research undertakes to provide the services in accordance with the rules of the trade, with full independence, confidentiality and scientific neutrality.
Studies and reports are provided for informational and analytical purposes: they constitute neither a commercial recommendation nor a performance guarantee.
Nexio Research is bound by a best-efforts obligation, not a result obligation.
5. Client obligations
The Client undertakes to provide Nexio Research with the information and data required to carry out the studies, in usable formats and within agreed timeframes.
The Client remains solely responsible for the accuracy and lawfulness of the data provided.
6. Data and confidentiality
AGRICONOMIE SAS acts as data controller for data collected as part of Nexio Research activities.
Certain operations may be entrusted to group companies, including Agryco Services and DPS, for the provision of aggregated data, hosting, technical support or modelling.
These companies act as AGRICONOMIE processors within the meaning of Article 28 of the GDPR and under a contractual framework compliant with the GDPR.
Studies carried out by Nexio Research are based on anonymised or pseudonymised data. No data allowing direct identification of an individual is communicated to Clients.
7. Intellectual property
All reports, studies, data, models, methodologies or tools produced by Nexio Research remain the exclusive property of AGRICONOMIE SAS.
The Client receives a non-exclusive right of use limited to the internal needs defined in the contract. Any reproduction, distribution or resale is strictly forbidden without prior written authorisation.
8. Liability
Nexio Research cannot be held liable for decisions or actions taken by the Client based on the results provided.
AGRICONOMIE's liability, all causes combined, is limited to the total amount excluding taxes paid by the Client for the service concerned.
9. Termination
In the event of a serious breach by a party of its obligations, the other party may terminate the contract after formal notice that has remained unanswered for fifteen (15) days.
10. Applicable law and jurisdiction
These T&Cs are governed by French law.
Any dispute falls under the exclusive jurisdiction of the Paris Commercial Court.
